These Terms and Conditions (hereinafter “T&Cs”) govern your use of and access to the services offered by Thrive with EQ (“Company,” “we,” “us,” or “our”), including any coaching, training, consulting, online programs, digital materials, and related events (collectively, “Services”). By purchasing, enrolling in, or otherwise using our Services, you (“Client,” “user,” or “you”) agree to be bound by the following terms.
1. Nature of Services
1.1 Coaching, Training, and Consulting
Thrive with EQ provides Services relating to emotional intelligence (EQ), leadership resiliency, well-being, and related topics. Our Services are educational and developmental in nature and are not a substitute for professional mental health counseling, psychotherapy, or any other licensed medical or mental health service.
1.2 No Guaranteed Outcomes
Our methods, materials, and advice are based on best practices and professional experience. However, we cannot guarantee specific results or outcomes, as success largely depends on factors outside our control (e.g., individual effort, market conditions, personal circumstances).
2. Acceptance of Terms
2.1 Binding Agreement
By purchasing, enrolling, or participating in our Services, you acknowledge that you have read, understood, and agree to these T&Cs. If you do not agree, please do not purchase or use our Services.
2.2 Modifications
We reserve the right to modify these T&Cs at any time, and such modifications will take effect upon their posting on our website or upon notification to you. Continued use of our Services after modifications constitutes your acceptance of the revised T&Cs.
3. Eligibility
3.1 Age Requirement
You must be at least 18 years old (or the age of majority in your jurisdiction) to purchase or use our Services. By enrolling, you represent and warrant that you meet this requirement.
3.2 Authority
If you are enrolling on behalf of a company or organization, you represent and warrant that you have the legal authority to bind that entity to these T&Cs.
4. Payment Terms
4.1 Pricing
All fees for our Services will be provided prior to purchase. Prices are subject to change at any time at our sole discretion, but changes will not affect purchases already made.
4.2 Payment Methods
Payments must be made using the methods we make available (e.g., credit card, PayPal, Stripe). You agree to provide accurate payment information and authorize us to charge the payment method you select.
4.3 Late Payments
If your payment method is declined or payment is otherwise overdue, we reserve the right to suspend or terminate access to our Services until full payment is received.
5. Refund and Cancellation Policy
5.1 30-Day Refund Window
You may request a refund in writing within 30 days of your initial purchase, stating the specific reason for dissatisfaction. Thrive with EQ will evaluate the request in good faith and issue a refund at our discretion, subject to any conditions or evidence we may require.
5.2 No Refunds After 30 Days
After the 30-day refund period, no refunds will be provided for any reason, including partial use or non-use of the Services.
5.3 Cancellation by Company
We reserve the right to cancel or terminate your access to the Services without reimbursement if you violate these T&Cs or engage in unprofessional, inappropriate, or disruptive behavior. In such cases, you are not entitled to any refund beyond what is stipulated in our 30-day policy.
5.4 Program/Event Postponement
If we postpone or reschedule any group program, workshop, or event for reasons beyond our control, your enrollment will automatically transfer to the rescheduled date. If you cannot attend, you may request a credit toward a future event, subject to availability. No refunds will be given unless otherwise stated.
6. Intellectual Property
6.1 Ownership
All materials, content, methodologies, trademarks, and intellectual property (“Materials”) provided by Thrive with EQ remain the exclusive property of the Company unless explicitly stated otherwise. You receive a limited, non-transferable, non-exclusive license to use these Materials solely for your personal and professional development.
6.2 Restrictions
You shall not copy, reproduce, distribute, modify, create derivative works from, publish, or otherwise exploit any of the Materials for commercial or non-commercial purposes without our prior written consent.
7. Confidentiality
7.1 Definition
“Confidential Information” includes any business, technical, financial, or personal information disclosed during coaching, consulting, or training sessions that is identified as confidential or would reasonably be understood as confidential by its nature.
7.2 Obligations
Both parties agree to maintain the confidentiality of such information and to use it solely for the purpose of fulfilling these T&Cs. This obligation survives the termination of any agreement between you and Thrive with EQ.
7.3 Exclusions
Confidential Information does not include information that is (a) in the public domain, (b) disclosed to a party by a third party without any confidentiality obligations, or (c) required to be disclosed by law or legal process.
8. Disclaimers
8.1 No Mental Health Services
Our Services, including coaching and consulting, do not constitute mental health therapy, psychological counseling, or any other type of licensed medical or mental health service. If you require such services, we strongly encourage you to seek advice from qualified professionals.
8.2 Client Responsibility
You acknowledge that implementation of any strategies, techniques, or recommendations provided by Thrive with EQ is your sole responsibility. We are not liable for any outcomes resulting from your actions or inactions.
8.3 No Warranties
Our Services are provided “as is” and to the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability and fitness for a particular purpose.
9. Limitation of Liability
9.1 Exclusion of Damages
To the maximum extent permitted by law, Thrive with EQ and its officers, employees, contractors, or agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Services, including but not limited to personal injury, lost profits, business interruption, or emotional distress.
9.2 Total Liability
In any event, our total liability, whether in contract, tort (including negligence), or otherwise, will not exceed the total fees actually paid by you to Thrive with EQ for the specific Service giving rise to the claim.
10. Indemnification
You agree to defend, indemnify, and hold harmless Thrive with EQ, its officers, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to (i) your use of the Services, (ii) any breach of these T&Cs, or (iii) your violation of any law or the rights of a third party.
11. Termination
We reserve the right, in our sole discretion, to terminate or suspend your access to any or all of our Services at any time, with or without notice, if you violate these T&Cs or if we believe it is necessary to protect our interests or the interests of other clients.
12. Force Majeure
Thrive with EQ shall not be liable for any delay or failure in performance due to events or conditions beyond its reasonable control, including natural disasters, acts of war, terrorism, government restrictions, or technical outages.
13. Governing Law & Dispute Resolution
13.1 Governing Law
These T&Cs shall be governed by and construed in accordance with the laws of the jurisdiction in which Thrive with EQ is established or primarily operates, without regard to its conflict of law provisions.
13.2 Venue
Any dispute arising out of or related to these T&Cs shall be subject to the exclusive jurisdiction of the competent courts in the above-mentioned jurisdiction, unless otherwise required by applicable consumer protection laws.
14. Entire Agreement
These T&Cs, along with any additional written agreements or policies referenced herein (such as privacy policies or disclaimers), constitute the entire agreement between you and Thrive with EQ regarding your use of the Services. They supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written.
